Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Premier Technical Consulting LLC, a Florida limited liability company doing business as ProScrim (“ProScrim,” “we,” “us,” or “our”). They govern your access to and use of the ProScrim website, applications, and services (the “Service”). By creating an account, depositing funds, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Responsible Play Policy, which are incorporated by reference. If you do not agree, do not use the Service.

1. Skill-Based Competition

ProScrim is a platform for skill-based competitive gaming. Outcomes of matches are determined predominantly by the relative skill, knowledge, and performance of the participants — not by chance. ProScrim is not a casino, sportsbook, lottery, or game of chance, and entry fees are not bets or wagers. Entry fees fund prize pools awarded to winning participants based on their performance, less the platform fee described below.

2. Eligibility & Age Requirements

You must be a natural person, the age of majority and minimum age stated below for your jurisdiction, and legally permitted to participate in paid skill-based contests where you live. By using the Service you represent and warrant that you meet these requirements and that all information you provide is accurate.

• 18 years or older in most U.S. states.
• 19 years or older if you reside in Alabama or Nebraska.
• 21 years or older if you reside in Massachusetts, Iowa, or Louisiana.

Restricted jurisdictions. Paid matches are not offered to, and may not be entered by, residents of or persons located in Washington, Idaho, Nevada, and Montana. We may add to or modify this list at any time, and we may restrict, suspend, or close accounts that we believe are accessed from a restricted jurisdiction. You are responsible for ensuring that your use of the Service is lawful where you are located. You may not use VPNs, proxies, or false location or identity information to access paid features.

3. Identity Verification (KYC)

To protect the integrity of the Service and to comply with applicable law, we may require you to verify your identity, age, and location before you deposit, play paid matches, or withdraw funds. You agree to provide accurate verification information and authorize us and our providers to verify it. We may delay, limit, or refuse transactions, and suspend or close accounts, where verification fails or fraud, collusion, or prohibited use is suspected.

4. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. One account per person. You may not transfer, sell, or share your account. Notify us promptly at support@proscrim.com of any unauthorized use. We may refuse registration, or suspend or terminate accounts, in our discretion, including for violations of these Terms.

5. Deposits, Entry Fees & Prize Pools

Account balances are denominated in ProCoin, the platform’s internal unit, which has no independent value outside the Service. Deposits and withdrawals are processed in cryptocurrency through third-party payment processors; their terms and fees also apply, and we are not responsible for their acts or omissions. When two participants are matched, each contributes the stated entry fee in ProCoin, which is locked for the duration of the match. The combined entry fees form the prize pool. The winning participant receives the prize pool less the platform fee. The current platform fee and winner percentage are displayed in the Service and may be updated prospectively.

6. Withdrawals

Subject to identity verification, anti-fraud review, applicable minimums, and these Terms, you may withdraw available, unrestricted ProCoin as cryptocurrency to a wallet you control. We will not unreasonably withhold funds that you are entitled to receive. Withdrawals may be delayed or declined where required by law, where verification is incomplete, or where we reasonably suspect fraud, collusion, chargeback abuse, or other prohibited conduct. Blockchain network fees and processor fees may apply and are your responsibility.

7. Fair Play & Prohibited Conduct

You agree not to, and not to attempt to:

• cheat, collude, match-fix, use unauthorized software, exploits, bots, or hardware advantages;
• create multiple or fraudulent accounts, or impersonate others;
• use the Service from a restricted jurisdiction or while underage;
• engage in money laundering, fraud, chargeback abuse, or use funds from illegal sources;
• harass, threaten, or abuse other users or staff, or post unlawful or infringing content;
• interfere with, probe, or attempt to gain unauthorized access to the Service or its systems.

We may void matches, withhold or reverse prizes, forfeit balances obtained through prohibited conduct, and suspend or terminate accounts for violations, in addition to any other remedies.

8. Match Results & Disputes

Participants are responsible for reporting results accurately and submitting evidence where required. Where results conflict or a dispute is raised, we (or our staff) will review the available evidence and determine the outcome, including awarding, splitting, voiding, or refunding a match. Our determination of a match dispute is final. This match-resolution process is separate from the legal dispute resolution in Section 14.

9. Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your winnings or activity. Where required by law, we may request tax information and report and/or withhold amounts.

10. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by us or our licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. Game titles, publisher marks, and third-party content are the property of their respective owners; ProScrim is not affiliated with, endorsed by, or sponsored by any game publisher.

11. Third-Party Services

The Service relies on third parties, including payment processors, identity verification providers, hosting, communications, and blockchain networks. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT MATCHES, RANKINGS, OR RESULTS WILL BE FREE FROM ERROR. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PREMIER TECHNICAL CONSULTING LLC NOR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) THE AMOUNT OF YOUR UNRESTRICTED ACCOUNT BALANCE THAT YOU ARE ENTITLED TO AND THAT WE HAVE FAILED TO PAY. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING RELIEVES US OF OUR OBLIGATION TO PAY OUT FUNDS YOU ARE PROPERLY ENTITLED TO RECEIVE.

14. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully — it affects your legal rights. Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court. The arbitration will be conducted in, and these Terms are governed by the laws of, the State of Florida, without regard to its conflict-of-laws rules. You and ProScrim agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims. If this class-action waiver is found unenforceable, the remainder of this Section 14 will be void as to that claim and proceed in court. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@proscrim.com with your name and account email and a clear statement that you opt out of arbitration.

15. Indemnification

You agree to indemnify, defend, and hold harmless Premier Technical Consulting LLC and its owners, members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms or applicable law, or your infringement of any third party’s rights.

16. Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or suspected unlawful or harmful conduct. Upon termination for cause, we may withhold balances reasonably attributable to prohibited conduct; otherwise, you remain entitled to withdraw available, unrestricted funds subject to verification and these Terms.

17. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes will be posted with an updated “Last updated” date and, where appropriate, additional notice. Your continued use after changes take effect constitutes acceptance.

18. Miscellaneous

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them. These Terms, together with the Privacy Policy and Responsible Play Policy, are the entire agreement between you and us regarding the Service.
